Membership Terms of Use

Please read these General Terms of Membership and Use (hereinafter the “Membership Terms” or “GTMU”) carefully before using the services offered by Satkara Society.

These GTMU set out the conditions and legal obligations relating to the use of the Services provided by the Company on the Website. Any use of and/or recourse to the Services offered by the Company to Users implies unreserved acceptance of these GTMU. The mere fact of using the said Services entails the pure and simple acceptance of these GTMU, which the Members expressly declare and acknowledge.

Every User must be a natural person at least 18 years old on the date of their use of the Website, having full legal capacity under the law applicable to them.

1 Definitions

In these GTMU, it is agreed that the following words or expressions, whether used in the singular or the plural, shall have the following meaning:

“Article”: means any article of these GTMU.

“Membership”: means membership of the Satkāra Society circle, taken out by a Member under the conditions herein.

“Application”: means the process by which a User, after being invited by the Company following their registration on the waiting list, formally requests membership of the Satkāra Society circle.

“Pre-registration Form (or “Waiting List”)”: means the form accessible on the Website allowing the User to register on the waiting list with a view to possible membership of the Satkāra Society circle.

2 Purpose – Validation – Acceptance

These GTMU set out the legal framework for the use of the Services offered by the Company, as well as the relationships that may be established between the Company and the Members. The use of the Services implies unreserved acceptance by the Members of these GTMU.

It is specified, as needed, that the Members may save or print these GTMU, provided however that they do not modify them. The version of the GTMU available online on the Website shall prevail, where applicable, over any other version hereof, with the exception of amendments made after the Member’s use of the Services, in accordance with ordinary law.

3 Entry into force – Duration

These GTMU apply throughout the entire period of use of the Services. Members are informed that the GTMU may be updated at any time under the conditions of article 18.2 hereof. Subsequent amendments to these GTMU will be enforceable against Members as from their publication online.

4 Verification that the Services match your needs

The Members declare that they have first verified that the Services match their needs. They declare and warrant that they have received from the Company all the information and advice necessary to subscribe to these GTMU and, consequently, waive any dispute on this point. It is for the Members to verify that the Services offered on the Website are suited to their needs.

5 Access to the Services

Satkāra Society is a private circle that you do not join freely: you apply. The Company makes available to Users, on the Website, a Pre-registration Form allowing them to register on the waiting list with a view to possible membership.

The User enters their identity (surname, first name) and contact details (email address, telephone number). They may also answer a short questionnaire allowing the Company to be informed, on a purely informative basis, about their background and aspirations.

Members are selected on the basis of their background and their alignment with the values conveyed by Satkāra Society. As the number of Members of the circle is deliberately limited (within a cap set by the Company), registration on the waiting list in no way guarantees the User that they will become a Member.

When a place becomes available, the User receives, at the email address provided, an invitation to submit their Application. If the Application is accepted, the User finalises their membership by reviewing these GTMU and accepting them without reservation, by ticking the box “I have read and accept these General Terms of Membership and Use”, then by paying the Membership Fee under the conditions of Article 8.

If membership is refused, the User may submit a new request to register on the waiting list at any time.

6 The Satkāra Services

Membership allows Members to access the following services provided by the Company:

  • Satkāra Passport: access to the private Satkāra Society circle, to its community of selected people and to the circle’s thematic communities.
  • Satkāra Concierge: a relationship concierge service, consisting in identifying and proposing to Members introductions that may be meaningful in view of their projects, challenges, complementarities or interests.
  • Satkāra Experiences: access to the Experiences offered by the Company, under the conditions of Article 7.
  • Private events organised or selected by the Company.
  • A stream of information, news and editorial content from the circle.

The Services provided by the Company are strictly limited to those set out in Articles 6 and 7. The Company acts under a best-efforts obligation and carries out neither investment advice, nor matchmaking-agency activity, nor any regulated intermediation activity. The introductions proposed in no way constitute a guarantee of results, in particular commercial. As the Company points out: every encounter opens a possibility, never an obligation.

7 The Experiences

The Company offers its Members, and where applicable non-Member Users, Experiences available in particular in the following formats: Immersion, Discovery, Retreat and Expedition. The Immersion, Retreat and Expedition formats are accessible without prior membership of the circle. The Discovery format is reserved for Members. The Company reserves the right to change this allocation and to open or reserve certain Experiences.

Each Experience may be subject to its own pricing, separate from the Membership Fee, as well as to specific conditions (dates, place, number of places, programme, cancellation conditions) brought to the participants’ attention at the time of registration. These specific conditions supplement these GTMU; in the event of a contradiction, the specific conditions of the Experience shall prevail with respect to that Experience.

As the number of places for each Experience is limited, registration is only final after confirmation by the Company and, where applicable, full payment of the corresponding price. The Company may cancel, postpone or modify an Experience, in particular for an insufficient number of participants or in a case of force majeure; it then informs the participants as soon as possible and, where applicable, refunds the amounts paid for the cancelled Experience.

Commitment to attend. The Experiences offered by the Company are rare, high-end and strictly limited in capacity; they are subject to waiting lists and high demand. By booking, the participant takes up a place that the Company will not, in practice, be able to reallocate to a third party in the event of default, in particular because of the lead times and organisation specific to these Experiences. Consequently, registration for an Experience constitutes a firm commitment to attend. The financial conditions below (non-refundable deposit, cancellation scale and compulsory cancellation insurance) are specifically intended to guarantee the participants’ attendance and to compensate for the loss suffered by the Company and by the people on the waiting list in the event of cancellation or absence.

Final nature of payment. Any payment made for participation in an Experience or an event is final and non-refundable, subject only to the cases provided for below: cancellation of the Experience by the Company and force majeure. The participant’s personal impediments (in particular illness, accident, hospitalisation, death) do not give rise to a refund by the Company and fall under the cancellation insurance that the participant undertakes to take out (see below).

Payment terms. Unless specific conditions apply to an Experience:

  • on booking, a deposit of 50 % of the price is due, as a non-refundable deposit;
  • the balance, i.e. 50 % of the price, is due at the latest three (3) months before the date of the Experience.

Cancellation scale by the participant. In the event of cancellation by the participant, for any reason whatsoever other than a duly justified case of force majeure:

  • more than ninety (90) days before the Experience: the Company retains the deposit, i.e. 50 % of the price;
  • between ninety (90) and thirty (30) days before the Experience: the Company retains 75 % of the price;
  • less than thirty (30) days before the Experience, or in the event of absence (no-show): the Company retains 100 % of the price.

The amounts retained correspond to the costs incurred and the loss suffered by the Company as a result of the cancellation. The participant may, with the Company’s agreement, transfer their place to another eligible person.

Cancellation by the Company and force majeure. In the event of cancellation, postponement or substantial modification of the Experience by the Company, or in a case of force majeure within the meaning of article 1218 of the French Civil Code (in particular: natural disaster or major climatic event, prohibition or administrative decision such as the closing of borders or lockdown, strike or major interruption of means of transport preventing access to the place of the Experience, epidemic or pandemic), the Company offers the participant, at their choice, a postponement to a later Experience, a credit note, or a refund of the amounts paid, less, where applicable, any non-recoverable costs already incurred.

Cancellation insurance (compulsory). Given the financial commitment that the Experiences represent, the participant’s taking out of cancellation insurance covering their personal impediments (in particular illness, accident, hospitalisation, death) is compulsory. The participant must be able to provide proof of it at the latest when the balance is paid. Failing this, participation remains subject to the cancellation scale above, without any refund by the Company for a personal impediment.

8 Financial conditions

Registration on the waiting list for possible membership is free. The financial consideration for the provision of the Services takes the form of a Membership Fee, offered under two options at the Member’s choice:

  • Monthly membership with no commitment: 169 € per month, cancellable at any time, with no justification required;
  • Membership with an annual commitment: 99 € per month, as part of a twelve (12) month commitment, renewed for the same duration unless a request for non-renewal is made before the expiry date.

The Membership Fee is only due as from the validation of the Member’s Application, after the invitation sent by the Company. If the Application is not accepted, no sum is due and any sum possibly paid in this respect is refunded in full.

VAT not applicable, Article 293 B of the French General Tax Code (VAT-exemption scheme). The prices indicated are net prices, not subject to VAT.

Payment is made exclusively by bank transfer, to the Company’s account whose details (IBAN) are provided to the Member at the time of validation of their Application. No online payment is offered on the Website. Membership begins on the date of full receipt of payment by the Company.

9 Right of withdrawal

In accordance with article L.221-18 of the French Consumer Code, a Member who is a consumer has a period of fourteen (14) days from taking out their Membership to exercise their right of withdrawal, without having to give reasons or pay penalties.

To exercise this right, the Member sends the Company an unambiguous statement (for example using the form in Appendix 2), by email to hello@satkarasociety.com or by post to the Company’s business address.

Special case of Experiences. In accordance with article L.221-28, 12° of the French Consumer Code, the right of withdrawal does not apply to accommodation, transport, catering or leisure services which must be provided on a specific date or at a specific frequency. Consequently, registration for an Experience scheduled on a specific date does not give rise to a right of withdrawal, which the participant acknowledges and accepts, without prejudice to the cancellation conditions specific to the Experience.

Furthermore, if the Member expressly requests that the provision of the Services begin before the end of the withdrawal period, they acknowledge that, if they exercise their right of withdrawal, they will have to pay an amount corresponding to the Services already provided, and that this right lapses once the service has been fully performed.

10 Duration of Membership

Membership taken out under the monthly option is concluded with no fixed term; the Member may cancel it at any time, the cancellation taking effect at the end of the current monthly period.

Membership taken out under the annual option is concluded for a firm term of twelve (12) months, renewed for the same duration unless a request for non-renewal is made before the expiry date. Taking out a Membership in the past does not guarantee the Member automatic renewed benefit of it, each membership being handled individually.

11 End of the Services

On the expiry or cancellation of the Membership, the Member can no longer benefit from the Services reserved for Members, nor access the concierge Services and the Experiences reserved for Members offered thereafter. The cancellation or expiry of the Membership has no effect on the Experiences already confirmed and paid for before that date, which take place under the applicable specific conditions.

12 Intellectual property

12.1 Satkāra Society Website

The Company is the exclusive holder of the rights to the Website accessible at www.satkarasociety.com, and in particular all the texts, comments, illustrations, videos, images (visual or sound) published and reproduced on the Website, as well as the databases of which it is the producer. These creations are protected under copyright, trademark law, the sui generis right of database producers and the right to one’s image, worldwide, and are the full and entire property of the Company.

The Company grants a licence to reproduce and display the Website, but only and strictly for personal use in the context of viewing the Website and using the Services. This licence excludes the right to modify, copy, translate, distribute, publish, transmit, reproduce, display or assign the rights to the Website. Any other use constitutes infringement, except with the Company’s prior written authorisation. The use of framing, deep-linking or inline-linking techniques towards the Website is prohibited without prior written agreement.

12.2 Trademark and distinctive signs

The name “Satkāra Society”, its logo and its brand signature are the property of the Company. Any reproduction or use without prior authorisation is prohibited.

12.3 Content, videos and photographs

The Company holds the Intellectual Property Rights to the editorial content, videos and photographs published on the Website; their performers and authors remain the holders of their respective rights, in particular under the right to one’s image. Members undertake not to use, reproduce or exploit this content without the Company’s prior and express agreement.

13 Data protection – Personal data

The Company undertakes to comply with the regulations applicable to personal data, and in particular Regulation (EU) 2016/679 of 27 April 2016 (GDPR) and amended Law no. 78-17 of 6 January 1978.

As data controller, the Company implements reasonable technical and organisational measures allowing it to comply with these regulations. All information relating to the collection and processing of the personal data of Users and Members, as well as to the use of cookies, is set out in the Personal Data Charter attached as Appendix 1, which forms an integral part of these GTMU.

14 Technical provisions

Access to the Website is provided “as is”. The Company does not guarantee provision without error or without occasional interruption of the Website. It is under no obligation to provide personalised assistance, in particular technical, and disclaims any express or implied warranty concerning the quality and compatibility of the Website with the use that the Members will make of it. It does not guarantee any result or benefit from the use that will be made of the Services.

15 Liability

15.1 The Company’s liability towards Members can only be incurred in the event of non-performance of its commitments resulting from these GTMU. The Company undertakes to provide the Services under a best-efforts obligation, to the exclusion of any obligation to achieve a particular result, which the Members expressly acknowledge and accept. The Services are standard and are not offered solely for a single Member nor to meet their specific needs and expectations. The Company does not guarantee that the Services will be error-free or continuously available.

15.2 The Company is not responsible for the links on the Website to other sites that it does not own and does not control; it exercises no control over their content, their practices or their availability.

15.3 The Members acknowledge that they have fully read the limitations of liability of this article, essential conditions without which the Company would not have contracted.

16 No warranty – No guarantee of results

It is expressly recalled that the Services are intended to allow Members to benefit from the circle, its network, its relationship concierge service and its Experiences. They in no way constitute a guarantee of results, in particular commercial, financial or professional.

  • The introductions proposed by the Company entail no obligation for the Member and do not guarantee the conclusion of any partnership, contract or transaction;
  • Members retain full and entire responsibility for the relationships, exchanges, decisions and transactions they enter into on the occasion of their membership, as well as for their consequences of any kind;
  • The Company cannot be held responsible for the actions, statements or failings of a Member towards another Member or a third party.

Consequently, indirect damage, and in particular any commercial loss, loss of customers, loss of data or loss of brand image suffered by a Member, directly or indirectly, cannot give rise to compensation from the Company.

17 Force majeure

Any event beyond the Company’s control and against which it could not reasonably guard constitutes a case of force majeure and, as such, suspends the parties’ obligations, in particular, without this list being exhaustive: strike, technical failure, interruption of energy supply, failure of the electronic communication network or of the networks that would replace it, epidemic, pandemic, major climatic event.

The Company cannot be held responsible, or deemed to have failed in its obligations, for any non-performance linked to a case of force majeure as defined by French law and case law, subject to notifying the other party and doing its best to minimise the loss and to perform its obligations after the end of the case of force majeure. The parties will then come together to examine the impact of the event and agree on the conditions for continuing the contract.

18 Miscellaneous provisions

18.1 Correspondence between the parties

Pursuant to articles 1365 et seq. of the French Civil Code, information delivered by email is authentic between the parties as long as no writing authenticated and signed on both sides calls it into question.

18.2 Updating of the GTMU

The Company may modify and/or update the terms of these GTMU according to economic or legal necessities. The new GTMU will apply as from their date of publication on the Website.

18.3 Entirety

These GTMU express the entirety of the agreement concluded between the Members and the Company and prevail over any prior or subsequent proposal or exchange, save for an amendment duly signed by the parties.

18.4 No waiver

The fact that one of the parties does not require the application of a clause, permanently or temporarily, cannot be considered a waiver of its rights arising from the said clause.

18.5 Invalidity

If one or more provisions of these GTMU are held to be invalid, the other provisions retain their full force and scope. The Company undertakes, where applicable, to replace the clause concerned with a valid clause of equivalent scope.

18.6 Headings

In the event of difficulty of interpretation between the heading of an article and its content, the headings shall be deemed unwritten.

18.7 Mediation, applicable law and jurisdiction

Member who is a consumer. These GTMU are governed by French law. In accordance with articles L.611-1 et seq. of the French Consumer Code, the consumer Member may have free recourse to a consumer mediator with a view to the amicable resolution of a dispute, after having sent a prior written complaint to the Company. The Member may also use the European online dispute resolution (ODR) platform accessible at ec.europa.eu/consumers/odr. Failing amicable resolution, any dispute falls under the ordinary rules of jurisdiction applicable to consumers.

Member who is a professional. These GTMU are governed by French law. Any dispute relating to their interpretation, validity or performance that could not be resolved amicably will be submitted to the jurisdiction of the competent Judicial Court of the district of the Company’s business address, including in the event of multiple defendants, an interlocutory claim or summary proceedings.
